In response to the increasing pressures on our members and board post-COVID, the Association began a governance review in late 2023 to explore ways to streamline and strengthen our organisational structure. Our goal is to build a more agile and efficient Association that maximises the use of our resources for the future, as the current structure is overly complex and creates inefficiencies and duplication in the way we work.
Working with the National Council for Voluntary Organisations (NCVO), we’ve received expert guidance based on the latest Charity Governance Code. The first major recommendation now approved by our board is to simplify operations by transitioning to a single charitable company structure. A wholly owned trading subsidiary will manage any commercial activities that fall outside the charity’s scope, with all profits donated directly back to support our charitable work.
While many changes can be approved by the board, completing the transition requires a General Meeting, where eligible full and resident members will vote on key resolutions, including:
- Renaming the company from Association of Anaesthetists of Great Britain and Ireland to AAGBI to make the original name available for the charitable entity
- Adopting a new set of Articles of Association as part of the company's winding-up phase
